Public offer

Version of 29 September 2026

This document is a public offer under Article 395 of the Civil Code of the Republic of Kazakhstan. The Contractor — the legal entity listed under «Company details and contacts» — offers any legal entity or sole proprietor to enter into an agreement for ORDR platform services on the terms below.

1. Definitions

ORDR Platform — the Contractor's software for receiving and processing a venue's orders: the Direct, In store service, Marketplace-to-POS integrations, ORDR CRM and ORDR Pay products, as well as the analytics, marketing and admin panel included in every product. Client — a legal entity or sole proprietor that has accepted the offer. Plan — the set of products, package and price of services published on the Contractor's website or stated in the invoice. Client dashboard — the personal account where the Client sees the subscription, invoices, acts and documents. Instance — a separate copy of the Platform deployed for the Client.

2. Subject of the agreement

The Contractor gives the Client access to the Platform within the selected Plan, connects it to the Client's POS and sales channels and provides technical support, and the Client pays for the services. The set of products and the number of locations are stated in the application or invoice.

3. Acceptance of the offer

The offer is accepted by paying the Contractor's first invoice or signing the connection application, whichever comes first. From acceptance, the agreement is deemed concluded in writing (Article 396 of the Civil Code of the Republic of Kazakhstan) and applies in the version of the offer published on the date of acceptance.

4. Price and payment

The price of services is set by the Plan. Payment is made in advance for the billing period — a month or a year — against an invoice in the Client dashboard, by the due date stated in the invoice. At the end of each billing period, the Contractor issues an act of completed work and an electronic invoice in the IS ESF system; the documents are available in the Client dashboard. If the Client sends no reasoned objections to the act within 5 business days, the services are deemed accepted. The Contractor may change the Plan by notifying the Client at least 30 calendar days in advance. The price of an already paid period does not change.

5. Connection and support

The Contractor deploys the Instance, connects it to the Client's POS and selected sales channels, and trains the Client's staff. The Client provides the access and information required for the connection. Technical support is provided through the channels listed in the Client dashboard. Where possible, the Contractor carries out scheduled work during off-peak hours and gives advance notice of it.

6. Rights and obligations

The Contractor undertakes to: keep the Platform running within the Plan; keep the data of the Client and its guests confidential; give notice of scheduled work. The Client undertakes to: pay invoices on time; use the Platform in accordance with the laws of the Republic of Kazakhstan; not share access with third parties; take responsibility for the menus, prices and information it publishes through the Platform. If payment is overdue, the Contractor may suspend access to the products after notifying the Client. The Client dashboard and invoices remain available so that the Client can pay off the debt.

7. Data

Guest and order data that the Client collects through the Platform belongs to the Client. The Client is the owner and operator of this personal data; the Contractor processes it on the Client's behalf and only to provide the services. Processing is described in the Privacy policy. After the agreement ends, the Client may export its data within 30 calendar days, after which it is deleted, except for data the Contractor must keep by law.

8. Intellectual property

Exclusive rights to the Platform belong to the Contractor. The Client receives the right to use the Platform for the term of the agreement within the Plan. The Client's trademarks, logos and content remain its property; the Contractor uses them only to run the Client's products.

9. Liability

The parties are liable for non-performance under the laws of the Republic of Kazakhstan. The Contractor is not liable for disruptions caused by third parties — POS systems, aggregators, payment systems, telecom operators — or for the Client's lost profits. The Contractor's total liability is limited to the amount paid by the Client for the last billing period.

10. Force majeure

The parties are released from liability if non-performance is caused by force majeure: natural disasters, military action, decisions of public authorities, large-scale failures of communication networks and power supply. The affected party notifies the other party within a reasonable time.

11. Term and termination

The agreement takes effect on acceptance and has no fixed term. The Client may terminate the agreement by notifying the Contractor in writing or through the Client dashboard at least 30 calendar days in advance. Settlements for the paid period follow the terms of the Plan.

12. Disputes and governing law

The agreement is governed by the laws of the Republic of Kazakhstan. The parties resolve disputes through negotiation; the response period for a claim is 15 business days. A dispute not settled by negotiation is heard by the court at the Contractor's location.

13. Changes to the offer

The Contractor may change the offer by publishing a new version on this page. For existing Clients, the new version takes effect 30 calendar days after publication unless the Client terminates the agreement within that time.
